Businesses change: they move, grow, take on new partners, replace a director or start new activities. The public registry needs to reflect that, because banks, partners and customers rely on it.
What needs registering
The most common changes registered with ARBK:
- the business address;
- the official or trading name. See Choosing a business name;
- activities: adding, removing or changing the primary one. See NACE codes;
- authorised persons, i.e. the director or representative. See Authorised persons;
- owners and their shares, for an SH.P.K. See Selling shares in an SH.P.K.;
- capital, increased or reduced;
- the statute, any amendment.
Documents usually needed
The list depends on the type of change, but usually:
- an application to register the change (ARBK form);
- an owners' decision on the change (for an SH.P.K. and other multi-owner forms);
- ID for any new people (the director or new owners);
- for a new address, where required, proof of the right to use the premises, e.g. the lease. See Renting business premises;
- for an ownership change, the share transfer agreement;
- the amended or consolidated statute, if it changes;
- an authorisation, if someone else applies on your behalf.
For an Individual Business, most changes are simpler because the owner decides alone.
The steps
- Take the decision internally, in writing.
- Prepare the documents from ARBK's list for that type of change.
- Apply to ARBK, in person or online where available.
- Get the updated certificate or extract.
- Notify everyone else (see below).
Who to notify afterwards
ARBK is only the start. After a change, check:
| Change | Who to notify |
|---|---|
| Address | ATK, your bank, fiscal device, invoices, customers |
| Name | Bank, invoices, company stamp, contracts, website |
| Director | Bank (signatories), EDI access, key partners |
| Owners | Bank (beneficial owners), accountant |
| Activities | Licences and permits, if the new activity needs them |
Forgetting the bank is the most common mistake. The account stays with the old signatory, or payments get blocked because the name doesn't match.
Changes that aren't "changes"
Some things can't be done with a form:
- B.I. → SH.P.K.: you usually set up a new SH.P.K. See How to open an SH.P.K..
- Closing down: has its own procedure. See Closing a business in Kosovo.
On Kerko
Kerko is built on ARBK's public data, so a change appears on your profile once it's published there. If your business is verified, you can update contacts, hours and description yourself straight away. Verify your business.
Frequently asked questions
Do I have to register an address change with ARBK?
Yes. The registered address must be accurate. Afterwards, also update ATK, your bank, your fiscal device and your invoices.
How long does registering a change take?
Simple changes are usually registered quickly, often within a few working days if the documents are complete. Ownership changes can take longer.
Can I convert a B.I. into an SH.P.K.?
Not with a simple change. You usually set up a new SH.P.K. and close or keep the B.I. as needed. Ask ARBK and your accountant about your case.
When does the change show on Kerko?
Kerko takes its data from ARBK's public sources, so a change appears once it has been registered and published there, with some delay.
