Business legal forms in Kosovo: a guide
Individual business, LLC, partnership, JSC or foreign branch? What each legal form in Kosovo is, who is liable for debts and how many are registered.

When you register a business in Kosovo, the first decision is the legal form. It determines who is liable for debts, how many owners you can have, how you are taxed and how much paperwork you will face. Legal forms are governed by Law No. 06/L-016 on Business Organizations, and registration happens at the Kosovo Business Registration Agency (ARBK).
This article summarises every form that appears in the ARBK registry, together with how many entities of each form exist in Kerko's data.
How many businesses of each form are there?
According to the public ARBK data Kerko is built on (all statuses, including businesses that have since closed), the breakdown is:

Two forms dominate: the Individual Business and the LLC (SH.P.K.) together make up more than 97% of all entities.
The main forms, briefly
Individual Business (B.I.)
One natural person owns and runs the business. It is the simplest and cheapest form to open, but the owner is liable with all their personal assets for the business's debts. A good fit for tradespeople, small shops and independent professionals.
Limited Liability Company (SH.P.K.)
A legal person separate from its owners. It can have one or more owners (individuals or companies, domestic or foreign), and each owner is liable only up to the value of their contribution. It is the standard choice for businesses that plan to grow, hire or work with partners.
General Partnership (O.P.)
Two or more partners doing business together. All partners are liable without limit, jointly and severally, so a creditor can claim the full debt from any one of them.
Limited Partnership (O.K.)
Like a general partnership, but with two kinds of partner: at least one general partner with unlimited liability, and at least one limited partner who risks only their contribution and usually does not manage the business.
Joint Stock Company (SH.A.)
Capital is divided into shares. Used by larger companies: banks, insurers, enterprises with many investors. It has higher capital, governance and reporting requirements than an LLC.
Branch and representative office of a foreign business
A foreign company can operate in Kosovo through a branch (which trades, but is not a separate legal person) or a representative office (representation and promotion only, no full commercial activity). Many foreign investors instead set up a local LLC.
Other forms
- Agricultural cooperatives: bring farmers together for joint production and sales.
- Socially owned enterprises: a legacy of the pre-war economy; most have been privatised or are in liquidation.
- Public enterprises: owned by the state or municipalities (e.g. utilities).
How to choose
Three questions narrow the choice quickly:
- How much risk are you willing to take on personally? If the business could run up significant debts, the LLC's limited liability is worth having.
- Are you alone or with partners? With partners, an LLC with a clear founding agreement is usually safer than a general partnership.
- Do you need outside investors? For most businesses an LLC is enough; a JSC only makes sense for large projects.

Which legal form protects personal assets?
The LLC and the JSC are separate legal persons, so owners usually risk only their contribution. With an Individual Business or a general partnership, owners are also liable with their personal assets.
Can I change the legal form later?
Yes. Many businesses start as a B.I. and later set up an LLC; an LLC can also be converted into a JSC. It is done through ARBK and may require new founding documents.
